 Pursuant to Regulation 30 of SEBl (Listing Obligations and Disclosure Requirements) Regulations, 2015, in continuation to our letter dated February 05, 2022, about the Scheme of Arrangement between Dalmia Cement (Bharat) Limited ('DCBL'/ 'wholly owned subsidiary of the Company') and Dalmia Bharat Refractories Limited ('DBRL'/ 'step down subsidiary company'), and their respective shareholders and creditors. The Scheme was approved and sanctioned by the Hon'ble National Company Law Tribunal, Chennai Bench, vide Order dated February 03, 2022 ('NCLT Order'). We wish to inform you that DCBL and DBRL have filed the Certified Copy of the NCLT Order, sanctioning the Scheme with the respective jurisdictional Registrar of Companies, today, i.e., March 01, 2022.
