In continuation to our letter dated 30th December, 2022, we wish to inform you that the Trading Window for dealing in the shares of the Company is closed from 1st January, 2023 till the expiry of forty-eight (48) hours, after the declaration of the Financial Results of the Company for the quarter and nine months ended 31st December, 2022 to the public.

 Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI (LODR) Regulations, 2015), we wish to inform you that the Company has entered into a definitive agreement on 29th December, 2022 subject to closing conditions to acquire 8,57,65,631 equity shares representing 76% of the total paid-up equity share capital (fully diluted basis) of DR Axion India Private Limited ('Transaction'). Upon completion of the transaction, DR Axion India Private Limited will be a Subsidiary of the Company. In this regard, the details as required under Regulation 30 read with Part A of Schedule III of the of SEBI(LODR) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated 09th September, 2015 is annexed as 'Annexure - A'.
