 This is to inform you that in terms of the Company''s Code of Conduct framed pursuant to SEBI (Prohibition of Insider Trading) Regulations, 2015 and applicable regulatory provisions, the trading window of the Company to deal in equity shares of the Company will be closed from January 1, 2022 and the same shall remain closed till completion of 48 (forty-eight) hours after the declaration of the Un-Audited Financial Results of the Company for the Third Quarter(Q3) of the Financial Year 2021-2022. The date of Board Meeting for declaration of the Un-Audited Financial Results of the Company for the Third Quarter (Q3) of the Financial Year 2021-2022, will be intimated in due course.

Zee Media Corporation Limited - 532794 - Intimation Under Regulation 30 Of The Securities And Exchange Board Of India (Listing Obligations And Disclosure Requirements) Regulations, 2015

 This intimation is in continuation to our intimation dated December 14, 2021. The Audit Committee and the Board of Directors of Zee Media Corporation Limited ('ZMCL') and Diligent Media Corporation Limited ('DMCL') had approved the terms of settlement to be entered into between the Companies in respect of certain receivables by ZMCL from DMCL and the said approval was subject to the approval of the Members of the respective companies. The said proposal has been approved with requisite majority by the Members of ZMCL on December 14, 2021. DMCL has, vide its outcome dated December 15, 2021, informed the Stock Exchanges that the aforesaid proposal was not approved by the Members of DMCL. In view of the above, the Board of Directors of ZMCL, vide resolution passed by way of circulation on December 15, 2021, have accorded their approval to defer the proposed Settlement with DMCL, which Settlement shall be effected only post approval of the Members of DMCL.

 This is in continuation to our intimation dated December 14, 2021 wherein it was informed that the following special/ordinary resolutions has been passed by the members of the Company with requisite majority through Postal Ballot: 1. Alteration of MOA of the Company; 2. Adoption of newly substituted AOA of the Company; 3. Issue of upto 13,50,00,000 warrants, each convertible into, or exchangeable for, one fully paid equity share of the company within a period of 18 month from the date of allotment of warrants, in accordance with the applicable law ('warrants') to the entity forming part of promoter group of the company, on preferential basis; and 4. To approve the terms of settlement with Diligent Media Corporation Limited.
