With reference to the captioned subject and Regulation 15(2) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the provisions of Regulation 23(9) of the said Listing Regulations, are not applicable to the Company as the Paid-up Share Capital of the Company is less than Rs. 10 Crores and Net Worth of the Company is also less than Rs. 25 Crores as on 31st March, 2022. Please take note that as per the latest Audited Accounts of the Company as at 31.03.2022, the paid up Share Capital of Company is Rs. 1,40,21,500/- and Net Worth is Rs. 54,60,695/-. Therefore, as the paid up Equity Share Capital and the Net Worth of the Company does not exceed the respective limit of Rs. 10 Crores and Rs. 25 Crores respectively, the Company is not required to submit ''Disclosure of the Related Party Transactions on a consolidated basis as per Regulation 23(9) of SEBI (LODR) Regulations, 2015.''
