Pursuant to Regulation 30(6) read with Schedule Ill of the Listing Regulations, the Board of Directors of the Company, vide their circular resolution dated January 07, 2020, basis the recommendation of the Nomination and Remuneration Committee, has approved the appointment of Mr. Shamik Das Sharma (DIN: 07779526)as an Additional and Non-Executive Independent Director on the Board of the Company, and his appointment shall be effective from the date of approval received from the exchanges. In terms of Section 161 of the Companies Act, 2013, he shall hold office until the ensuing Annual General Meeting. The approval of the Shareholders for the appointment of Mr. Shamik Das Sharma as Non-Executive Independent Director on Board of the Company will be sought at the ensuing Annual General Meeting. We confirm that Mr. Shamik Das Sharma has not been not debarred from holding the office of Director by virtue of any SEBI order or any other Authority.
