ROYAL ORCHID HOTELS LTD. - 532699 - Intimation Under Regulation 30 Of The Securities And Exchange Board Of India (Listing Obligations And Disclosure Requirements) Regulations, 2015

 We would like to inform that KSDPL is no longer a subsidiary of ROHL due to expansion of Board of KSDPL by the appointment of two Independent Directors. The details of the same are as follows: ROHL holds 50% shareholding in KSDPL and the remaining 50% is held by Tambi Group. By Virtue of the MOU executed between ROHL and Tambi group, the Board of Directors of KSDPL consists/ shall consist of 5 Directors of which 3 Directors shall be nominated by ROHL and 2 Directors shall be nominated by Tambi Group. Hence KSDPL was a subsidiary of ROHL by virtue of right to nominate more than 50% Directors of the Board. At the EOGM of KSDPL held on 02.03.22 two Independent Directors were appointed. So, now the Board of KSDPL constitutes of seven Directors of which three are nominees of ROHL. Therefore, the number of Directors that ROHL has the power to nominate does not constitute the Majority on the Board of KSDPL. Hence, KSDPL ceases to be a subsidiary of ROHL and would be classified as a JV of ROHL
