In furtherance to the intimation regarding Board Meeting held on 14th August 2019 wherein the Board provided its in-principal approval for evaluation of a proposed re-structuring exercise involving the Company, the Board of Directors of the Company at their meeting held on 17th July 2020 approved a Scheme of Amalgamation under Sections 230-232 and other applicable provisions, if any, of the Companies Act, 2013, including any statutory modification or re-enactments thereof for the time being in force between Zuari Global Limited ('ZGL') and Gobind Sugar Mills Limited ('GSML') and their respective shareholders and creditors ('the Scheme') placed before them. As per the disclosure requirements of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with Clause 1.2 of Annexure I of SEBI Circular No. CIR/CFD/CMD/4/2015 dated 09th September,2015, following are the requisite disclosures in relation to the Scheme:18-07-2020
