EAD-2/AP/VS/2930/2020 (SCN) issued by Securities and Exchange Board of India (SEBI) under Rule 4(1) of the Securities Contracts (Regulation) (Procedure for Holding Inquiry and Imposing Penalties) Rules, 2005 read with Section 23 I of the Securities Contracts (Regulation) Act, 1956 relating to alleged non-disclosure of the order dated June 26, 2018 passed by SEBI in the proceedings initiated against Vishvapradhan Commercial Private Limited (VCPL).  This is in furtherance to the disclosures dated November 12, 2019 and January 17, 2020 submitted by New Delhi Television Limited (NDTV) in respect of the sale of the equity shares held by NDTV and NDTV Convergence Limited (a material subsidiary of NDTV) in Fifth Gear Ventures Limited (FGVL), a joint venture of NDTV, to Mahindra First Choice Wheels Limited (MFCW). We wish to inform you that the sale of equity shares in FGVL by NDTV and Convergence to MFCW was completed today, and consequently, FGVL has ceased to be a joint venture of NDTV w.e.f. January 27, 2020.

NEW DELHI TELEVISION LTD. - 532529 - Disclosure Under Regulation 30 Of SEBI (Listing Obligation And Disclosure Requirements) Regulations, 2015

 This is in furtherance to the disclosures made by New Delhi Television Limited ('NDTV') on 4th December, 2019, 10th December, 2019 and 17th December, 2019, in regard to the Civil Appeal filed by NDTV before the Hon'ble Supreme Court, challenging the order dated 7th August 2019 passed by Securities Appellate Tribunal ('SAT'), and the Notice of Demand/Recovery Certificate dated 22nd November, 2019 issued by SEBI, received on 25th November, 2019, under Rule 2 of the Second Schedule to the Income Tax Act, 1961 r/w Section 28A of the Securities and Exchange Board of India Act, 1992. SEBI has separately filed a Special Leave Petition in the Hon'ble Supreme Court, challenging the Judgment dated 4th September, 2019 passed by the Hon'ble Bombay High Court, which has been tagged with the Civil Appeal filed by NDTV. The matters were heard on 24th January, 2020 and adjourned for a week on the same terms as before. Please consider and take the same on record.

 In continuation of the disclosures made by New Delhi Television Limited ('NDTV') on 18th June 2019, 17th September 2019, 23rd October 2019 and 20th November 2019, Dr. Prannoy Roy and Mrs. Radhika Roy ('Promoters') and RRPR Holding Private Limited ('Promoter Group') have informed NDTV as under: In appeals instituted by each RRPR Holdings Private Limited, Dr. Prannoy Roy and Mrs. Radhika Roy, assailing the 14th June 2019 order of the Securities Exchange Board of India ('Impugned Order'), the Securities Appellate Tribunal at Mumbai, at a hearing on 21st January 2020, has extended the stay, in operation against the Impugned Order granted vide order dated 18th June 2019, until the next date of hearing. The appeals have accordingly been adjourned, and are now scheduled to be listed on 24th February 2020.

 In continuation to the disclosure dated November 12, 2019, please be informed that the Board of the Company at its meeting held on January 16, 2020, has approved the terms and conditions arrived at after extensive negotiations, for sale of its investment held in Fifth Gear Ventures Limited ('FGVL'), a Joint Venture, at the rate of Rs. 3303.14 per equity share, to Mahindra First Choice Wheels Limited (MFCW), Further, the Board of Directors of NDTV Convergence Limited ('Convergence'), a material a subsidiary of the Company has also accorded its approval for selling its stake in FGVL to MFCW. The Company and Convergence own and hold, collectively 45.56% of the total issued, subscribed and paid-up capital of FGVL and accordingly, post-transfer of the stake of the Company and Convergence, FGVL will cease to be a joint venture of the Company.
