Pursuant to provisions of Section 110 of the Companies Act, 2013 read with Rule 22 of the Companies (Management and Administration) Rules, 2014, and SEBI (LODR) Regulations, 2015, the Company sought approval from shareholders though postal ballot/e-voting on resolutions set forth in the Postal Ballot Notice dated 14 February 2020 of the Company. The Notice of the Postal Ballot along with explanatory statement, postal ballot forms, e-voting user IDs and passwords and self-addressed pre-paid business reply envelopes were sent to shareholders and other concerned including statutory auditors, directors, stock exchanges etc. through registered post/email. The Scrutinizer, has submitted his report dated 02 July 2020 based on which voting results of Notice of Postal Ballot dated 14 Feb 2020 has been declared. Based on the outcome of voting results, re-appointment of the whole-time director, Rajnish Kumar Singh as Director (Plant) for a term of 3 years from 01 April 2020 to 31 March 2023, as approved by the Board of Directors in its meeting held on 14 February 2020, stands nullified and he will revert to his earlier position as Director (Corporate) as per the approval accorded by shareholders on earlier occasion vide resolution passed on 21 July 2018 and which is valid till 31 December 2020.
