SEBI/HO/CFD/CMD1/CIR/P/2020/140 dated July 29, 2020, we wish to inform you that a meeting of the Board of Directors of the Company TIRUPATI FOAM LTD is scheduled to be held on Tuesday, the 15th September, 2020, to consider and approve, interalia: 1. the Un-Audited Financial Results for the quarter ended June, 30 2020 Further, we wish to inform you that as intimated to you earlier, the Trading Window for trading in Shares of the Company is closed from 1st August, 2020 until 48 hours after the declaration of Unaudited Financial Results by the Company on 15th September, 2020.

 This is to inform you that the working in Registered Office of the Company at TIRUPATI HOUSE, 4TH FLOOR, NR. TOPAZ RESTAURANT, UNIVERSITY ROAD, POLYTECHNIC CHAR RASTA, AMBAWADI, AHMEDABAD GJ 380015 which was suspended from 24th August, 2020 due to the spread of Corona Virus with certain Directors and employees of the Company, are now resumed from today i.e. 8th September, 2020. The company is strictly following the guidelines/restrictions Vide order under Rule-II for prevention of Covid-19 spread at work place provided by Govt./Local Authorities to take necessary steps to prevent and control the disease under The Epidemic Disease Act, 1897 and also the terms of Office order No. AMC/MC/80, dt. 13.8.2020 issued by Ahmedabad Municipal Corporation in these behalf.

 This is to inform you that certain employees of the Company- Tirupati Foam Limited have been found infected to Corona Virus (COVID 19) and accordingly as a precautionary measure, and in order to prevent the spread of coronavirus (COVID19) to other employees/ staff and Management, the Management of the Company has decided to close /suspend the working in Registered Office of the Company at TIRUPATI HOUSE, 4TH FLOOR, NR. TOPAZ RESTAURANT, UNIVERSITY ROAD, POL ~ ~ECHNICCH AR RASTA, AMBAWADI, AHMEDABAD GJ 380015 IN from 24th August, 2020 till 30th August, 2020 or till such time as the management deems fit and let the employees be Self-Quarantine at home/ hospital for the week. We will continue to update the exchange about the material developmenis which may take place in this regard. However, thei,mnufacturing units at Noida and Khatraj are not at all affected and will continue to operate as usual. The impact of suspension-of Office premises will be minimal on working of the Company

 This is to inform you that Annual Secretarial Compliance Report under Regulation 24A of SEBI (Listing Obligations and Disclosure Requirements) (Amendment) Regulations, 2018 read with BSE Circular dated 9th May, 2019 is not applicable to our Company. Further, we would like to clarify that our Company is claiming exemption under Regulation 15(2) of SEBI (listing Obligations and Disclosure Requirements) Regulations,20l5 as Corporate Governance provisions shall not apply to listed entities having paid up Equity Share Capital not exceeding Rupees 10 Crores and net worth not exceeding Rupees 25 Crore, as on the last day of previous financial Year i.e 31.03.2019. Hence we are not required to submit Annual Secretarial Compliance Report as our Company is exempt under Regulation l5(2) of SEBI (listing Obligations and Disclosure Requirements) Regulations, 2015.
